Preamble

We, the members of the Wintercrawl DAO, in order to promote transparency, fairness, and community involvement in the development and operation of Wintercrawl, a blockchain-based game, establish this Constitution to govern our organization and ensure the prosperity and success of our project.

Article I — Purpose and Objectives

1 The primary purpose of the Wintercrawl DAO is to oversee and support the development, maintenance, and growth of the Wintercrawl game.

1.2 The objectives of the Wintercrawl DAO include fostering a strong and engaged community, ensuring transparent and accountable governance, and promoting a fair and stable in-game economy.

Article II — Legal Structure and Ownership

2.1 The Wintercrawl DAO shall be organized as a decentralized autonomous organization (DAO) incorporated under the laws of the State of Wyoming.

2.2 The DAO shall own and control any subsidiary LLCs or other legal entities that are created to develop, maintain, or otherwise support the Wintercrawl IP.

2.3 The Wintercrawl IP and any associated assets shall be collectively owned by the DAO and its members, with no single member or entity having exclusive control or ownership.

Article III — Membership

3.1 Membership in the Wintercrawl DAO is open to individuals who demonstrate expertise and interest in NFTs, gaming, and blockchain technology.

3.2 The Wintercrawl DAO consists of 64 members, who are selected based on their skills, experience, and commitment to the project.

3.3 Members are expected to actively participate in DAO governance and contribute to the success of the Wintercrawl project.

Article IV — Governance Structure

4.1 The Wintercrawl DAO is organized into a hierarchical structure with Stewards, Orators, and Contributors.

4.2 The DAO consists of 12 Stewards, responsible for high-level decision-making and overseeing the organization’s overall operation. The Stewards are also known as Orators within the guilds they guide.

4.3 Four Guilds, each led by 3 Orators, a Guild Leader and two Officers, handle specific areas of responsibility within the organization, including Economic, Development, Asset, and Community management.

Article V — Governance Proposals and Voting

5.1 Any member of the DAO may submit a governance proposal to be considered by the organization.

5.2 Governance proposals must be presented in writing, clearly stating the proposed action, the rationale behind the proposal, and any potential consequences or ramifications.

5.3 The Stewards shall review all submitted proposals and, if deemed appropriate and relevant, present them to the entire DAO membership for discussion and voting.

5.4 Each member of the DAO has one vote, and a majority vote is required for a proposal to be approved.

5.5 Voting may be conducted through a secure and transparent on-chain voting mechanism using the Winter’s Gold (WGLD) token.

Article VI — Amendments and Revisions

6.1 This Constitution may be amended or revised by a two-thirds majority vote of the DAO members.

6.2 Proposed amendments or revisions must be submitted to the Stewards for review and discussion before being put to a vote.

Article VII — Code of Conduct

7.1 All members of the Wintercrawl DAO are expected to act with integrity, respect, and professionalism in their interactions with one another and the wider community.

7.2 Members are expected to put the best interests of the Wintercrawl project and its community first in their decision-making and actions.

7.3 Any member found to be in violation of this Code of Conduct may be subject to disciplinary action, up to and including removal from the DAO.

Article VIII — Dissolution

8.1 The Wintercrawl DAO may be dissolved by a three-quarters majority vote of the DAO members.

8.2 In the event of dissolution, the DAO’s assets, including any intellectual property and subsidiary LLCs, shall be liquidated and distributed among the DAO members in accordance with their respective stake in Winter’s Gold (WGLD) tokens.

8.3 Any remaining assets or funds, after satisfying outstanding debts and obligations, shall be distributed to a non-profit organization or other entity, as decided by the DAO members.
